1. Acceptance of terms

By accessing or using the Obentric platform, you agree to be bound by these Terms and Conditions and all applicable UK laws and regulations. These terms form a legally binding agreement between you (or the organisation you represent) and Tech Premier Limited. If you do not agree to these terms, you must not use the platform.

2. Service description

Obentric provides cloud-based business management software for UK small and medium businesses, including modules for accounting, payroll, HR, CRM, project management, inventory, asset management, and AI-powered tools. The platform integrates with HMRC's Making Tax Digital service for VAT submission. Specific features depend on your subscription plan.

3. Account responsibilities

You are responsible for:

• Maintaining the security and confidentiality of your account credentials
• All activities that occur under your account
• Ensuring all users you invite have accepted these terms
• Notifying us immediately of any suspected unauthorised access at security@obentric.com
• Ensuring the accuracy of data you enter, including VAT returns submitted to HMRC

4. HMRC Making Tax Digital

When you authorise Obentric to connect to HMRC on your behalf via Making Tax Digital (MTD), you grant Obentric permission to submit VAT returns, retrieve obligations and penalties, and access VAT account information using your HMRC Government Gateway credentials. You remain legally responsible for the accuracy of all data submitted to HMRC. Obentric is registered as a Making Tax Digital software provider and complies with HMRC's fraud prevention header requirements.

5. Subscription and billing

Subscriptions are billed monthly or annually in advance in GBP. All prices exclude VAT where applicable. Payments are processed securely via Stripe. We do not store card details on our servers.

• Monthly subscriptions renew automatically unless cancelled before the renewal date
• Annual subscriptions are non-refundable except in the case of service unavailability
• We reserve the right to change pricing with 30 days' written notice
• Overdue accounts may be suspended after 14 days' notice

6. Free trial

New accounts may be eligible for a free trial period as displayed at sign-up. No payment is required during the trial. At the end of the trial, you must subscribe to continue using the platform. We reserve the right to modify or end free trial offers at any time.

7. Acceptable use

You may not use Obentric to:

• Violate any UK or international laws or regulations
• Infringe intellectual property rights
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorised access to any part of the platform
• Submit false or misleading information to HMRC or other government bodies
• Engage in any activity that disrupts the platform or its users

8. Data ownership and confidentiality

Your business data remains yours. Tech Premier Limited will not access, use, share, or sell your business data except as necessary to provide the service, comply with legal obligations, or as directed by you. Upon account termination, you may export your data within 30 days. After 30 days, data will be deleted in accordance with our retention policy.

9. Intellectual property

The Obentric platform, including all software, designs, and documentation, is owned by Tech Premier Limited and protected by UK copyright law. You are granted a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription. You may not reverse-engineer, copy, or redistribute any part of the platform.

10. Service availability

We aim for 99.9% uptime. Planned maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by third parties including HMRC's API, Stripe, or internet service providers. In the event of extended unplanned downtime (over 24 hours), you may be entitled to a pro-rata credit.

11. Limitation of liability

To the maximum extent permitted by UK law, Tech Premier Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Obentric, including loss of profits, data loss, or penalties arising from HMRC submissions. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

12. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through the platform or by emailing support@obentric.com. We may suspend or terminate your account immediately for breach of these terms, non-payment, or suspected fraudulent activity.

13. Changes to these terms

We may update these Terms and Conditions. We will provide at least 30 days' written notice of material changes. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.

14. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We will always attempt to resolve disputes amicably before resorting to legal proceedings.
